Definitions
- Board of Directors / Board
- The Board of Directors of the Company, as constituted from time to time.
- Company
- A company incorporated under the Companies Act, 2013, or under any previous company law.
- CSR Programmes
- Programmes, projects and activities carried out in this regard, forming the subject matter of this Policy.
- CSR Committee
- The Corporate Social Responsibility Committee constituted by the Board of Directors, from time to time.
- Independent Director
- A Director who is not a whole-time director, neither a promoter nor part of the promoter group, and who meets the independence criteria under the Companies Act, 2013.

- Undefined terms
- Any term not defined herein carries the meaning given to it under the Companies Act, 2013, or any other applicable regulation.
CSR Projects & Activities
- Direct our CSR Programmes toward enhancing environmental and natural capital; supporting rural development; promoting education and skill development; providing preventive healthcare, sanitation and drinking water; creating livelihoods for disadvantaged sections of society across rural and urban India; and preserving and promoting sports.
- Develop the capability and self-reliance of beneficiaries at the grassroots, as prerequisites for social and economic development.
- Engage in affirmative interventions such as skill building and vocational training, to enhance employability and generate livelihoods, including for disadvantaged sections of society.
- Pursue CSR Programmes primarily within the economic vicinity of our operations, to enable close supervision and maximum development impact.
- Carry out CSR Programmes in relevant local areas to fulfil commitments arising from government or regulatory requests, channelling funds through administrative bodies or directly through developmental works.
- Carry out relief activities at the time of natural calamity or engage in Disaster Management.
- Contribute to the Prime Minister's National Relief Fund, or any other Central Government fund, for the welfare of Scheduled Castes, Scheduled Tribes, other backward classes, minorities and women.
- Contribute or provide funds to technology incubators located within academic institutions approved by the Central Government.
- Contribute to any fund set up by the Central or State Government, including the Chief Minister's Relief Fund, where recognised as a CSR activity.
Implementation, Monitoring & Review
The Board of Directors is responsible for overseeing the implementation of this Policy and formulating the CSR strategy. CSR activities are implemented and monitored by an executive team, or through external implementing agencies โ including Registered Trusts, Societies, or Section 8 companies established, or to be established, by the Company.
In such cases, the Company specifies the CSR Programmes to be undertaken by those Trusts, Societies or Section 8 companies, in accordance with their objects and the administrative and accounting processes laid down in the respective Trust Deeds, Memorandum and Articles of Association.
Governance
The Board of Directors plans the CSR Programmes to be carried out during the financial year, along with the specified budgets.
Assigned persons or bodies carry out the CSR Programmes as determined by the Board, within specified budgets and timeframes, reporting progress back to the Board at the directed frequency.
The Board reviews implementation periodically and issues necessary directions to ensure orderly and efficient execution, in accordance with this Policy.
CSR Expenditure
CSR expenditure includes all expenditure permitted under applicable law, including contribution to corpus for CSR Programmes approved by the Board โ but excludes any expenditure on items not in conformity with activities falling within the purview of Schedule VII of the Companies Act.
